Wholesale Distributor Terms and Conditions

Conflict of Interest

Our wholesale program is intended for people who want to sell GERMANIKURE products at their private companies E-Commerce or physical stores.
Wholesale distributors are not to market, sell, distribute, or in any other way solicit orders from any third party e-commerce retail platforms including, but not limited to Amazon, Walmart, eBay, and Etsy.
Any such marketing, sale, distribution or solicitation of the competitive products is considered to be a material breach of this Agreement.

 

Pricing

The Minimum Advertised Price (MAP) for all Company products shall be no more than 10% less than the published Manufacturers Suggested Retail Price (MSRP).
Purchase price for wholesale distributors are exclusive of any export, withholding, federal, state and local taxes, or duties.
GERMANIKURE reserves the right to revise purchase pricing for wholesale distributors and MSRP at any time.

 

Deliver and Inspection

Wholesaler shall have fifteen (15) days upon receipt of each shipment to inspect Products. If wholesaler determines any unit of Products defective, they shall promptly notify us of such defects. Defective products may be returned for evaluation and examination. When requesting a return authorization, wholesaler must supply purchase order number and invoice number.
Company will inspect all Products returned. Products will not be replaced where the defect is not determined to be the fault of GERMANIKURE, including but not limited to misuse, neglect, alteration or improper storage by wholesaler.

 

Intellectual Property

Wholesaler acknowledges and agrees that GERMANIKURE owns all of the Proprietary Rights. The use by your company of the Proprietary Rights is authorized only within the boundaries of the terms and conditions set forth in this document. Upon termination of this Agreement for any reason, such authorization will cease.
Wholesaler may not copy, distribute, reproduce, modify, prepare derivative works of, decompile, reverse engineer, disassemble or otherwise attempt to derive manufacturing methods from any GERMANIKURE products.

 

Warranty

Any warranty for the Products shall run directly from the wholesaler to the purchaser. Purchaser shall contact wholesaler directly to make arrangements for repair, return, or replacement of any allegedly defective products. Wholesaler shall have sole authority to deal with customers regarding any such warrantable repairs, returns, or replacement.
Upon receipt of any such warrantable products, wholesaler shall separately contact GERMANIKURE to arrange for return or credit for these defective products. The decision for determination of defect and replacement or credit for these products shall be solely at GERMANIKURE’s discretion.
